These Terms of Use ("Terms") govern your access to and use of Chat&Yamo's mobile applications, website, and related services (collectively, the "Services").

The Services are operated by Affinity Square US Inc. ("Chat&Yamo," "we," "us," or "our"), located at 8 The Green, Ste R, Dover, Delaware 19901, United States. You can contact us at contact@chat-yamo.com.

By creating an account, accessing the Services, browsing them, downloading them, or using them, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use the Services.

In the event of any conflict between these Terms and the specific terms and conditions for a product we provide to you, the latter shall prevail with respect to that product.

2. Eligibility Requirements

You may use the Services only if:

– You are at least 18 years old;

– You are legally able to enter into a binding contract in your place of residence;

– applicable law does not prohibit you from using the Services; and

– You agree to comply with these Terms and Conditions as well as all applicable laws and regulations.

If the laws in your place of residence specify a higher minimum age, that age limit applies to you.

You may not use the Services if you have been convicted of a violent or sexual offense, to the extent that applicable law prohibits or partially prohibits such use, or if your use of the Services is likely to pose a risk to other users or to the platform.

3. Availability of Services

Chat&Yamo is intended for users residing in countries where the Services are legally available through the Apple App Store, the Google Play Store, our official website, and associated platforms.

We may modify, suspend, restrict, or discontinue all or part of the Services at any time, with or without notice, to the extent permitted by law.

4. Your Account

You may need to create an account to use some or all of the Services' features. You agree to provide accurate, up-to-date, and complete information, and to keep it up to date.

You will be responsible for:

– Keep your account credentials confidential;

– restrict access to your device and your account;

– all activities performed under your account; and

– Notify us immediately if you believe your account has been accessed without authorization.

We may refuse to create an account, suspend an account, or terminate an account if we have reason to believe that you have violated these Terms, posed a risk to other users, provided false information, or used the Services in an unlawful manner.

5. Login Options and Logging In to TikTok

We can offer registration or login through supported third-party services.

If you choose to log in via Tik Tok, you authorize TikTok to share with us the information and permissions you agree to provide as part of TikTok's authorization process and that are permitted by the approved scopes for our app. We use your Tik Tok login information to authenticate you, create or link your Chat&Yamo account, and manage the login process.

Your use of TikTok Login is also subject to Tik Tok's Terms of Use, Privacy Policy, and platform rules, as well as the choices you make when granting access.

6. Safety, Respectful Behavior, and Prohibited Conduct

Chat&Yamo was designed to help users build respectful relationships. You agree to use the Services in a responsible and respectful manner.

You must not:

– creating a false identity or impersonating someone else;

– making false statements about your age, identity, family status, or affiliation;

– harass, threaten, stalk, intimidate, abuse, exploit, or defame anyone;

– publish or share content that is illegal, hateful, discriminatory, sexually exploitative, violent, fraudulent, misleading, or invasive of others' privacy;

– solicit money, gifts, financial assistance, or any other item of value from users;

– disclose another person's personal data without legal authorization;

– download viruses, malware, or harmful code;

– compromise the security, integrity, or proper functioning of the Services;

– use robots, scrapers, crawlers, or automated tools to access or copy the Services without our written permission;

– use the Services for the purposes of spamming, cold calling, fraud, or unauthorized advertising;

– use another user's account without their permission; or

– Engage in behavior that is harmful to minors or that violates our policy on child safety standards.

We have a zero-tolerance policy toward the sexual exploitation and abuse of children, human trafficking, non-consensual sexual content, fraud, or any behavior that threatens user safety.

We may investigate alleged violations and take action, including removing content, suspending or terminating accounts, reporting the matter to law enforcement authorities, and retaining relevant data when permitted or required by law.

7. Interactions with Other Users

You are solely responsible for your interactions with other users, whether online or offline.

Exercise caution when communicating with or meeting other users. Do not send money or share sensitive financial information, and review our safety tips before meeting someone in person.

Chat&Yamo does not guarantee a user's identity, intentions, behavior, or compatibility. Unless expressly stated otherwise, we do not conduct criminal background checks on all users.

8. User Content

You may upload, send, post, display, or share content through the Services, including profile information, messages, photos, videos, and other items ("User Content").

You are solely responsible for your User Content and represent that:

– you are the owner of the content or have all the necessary rights, licenses, and permissions to use and share it;

– it does not violate these Terms, applicable law, or the rights of any third party; and

– It does not contain any prohibited or dangerous content.

You should not post sensitive personal or financial information on your profile or in your messages unless you are fully aware of the risks associated with disclosing such information.

9. License You Grant Us

You retain ownership of your User Content. However, by submitting User Content through the Services, you grant Chat&Yamo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, adapt, modify, process, distribute, and use such User Content solely to the extent necessary to:

– operate, provide, maintain, and improve the Services;

– moderate content and enforce these Terms;

– investigate cases of abuse, fraud, and security incidents;

– comply with legal obligations; and

– to promote the Services, provided that such use complies with applicable law and our Privacy Policy.

This license terminates within a commercially reasonable period of time after your User Content is removed from the Services, except to the extent that such content has already been shared with others, retained for legal or security reasons, or stored in backup systems for limited retention periods.

10. Our Content and Intellectual Property

The Services, including our software, design, trademarks, logos, graphics, text, features, and any other content, with the exception of User Content, are the property of Chat&Yamo or are licensed to Chat&Yamo, and are protected by applicable intellectual property laws.

Provided that you comply with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Services in accordance with their intended purpose.

You may not copy, modify, distribute, sell, reverse engineer, decompile, extract, or exploit any part of the Services, except as expressly permitted by law or with our prior written consent.

11. Paid Features, Subscriptions, Cancellation, and Refunds

Chat&Yamo may offer paid subscriptions, premium features, or other digital services through the Apple App Store, the Google Play Store, direct billing through your mobile carrier, or other authorized payment providers.

By signing up for a subscription or purchasing a paid feature, you authorize the relevant payment provider to charge you the fees, taxes, and any other amounts specified in connection with your purchase.

If your subscription renews automatically, it will remain active until you cancel it. To prevent this renewal, you must cancel it before the next billing date by using your account settings in the app store, your payment provider's settings, or any other cancellation method we make available to you.

Deleting the app or deleting your Chat&Yamo account does not automatically cancel a subscription purchased through an app store or from a third party. You must cancel the subscription with the billing provider.

Unless required by applicable law or the payment platform's rules, payments for digital services are non-refundable once the purchase has been confirmed and the digital service has begun. If a refund is possible, it will be processed in accordance with the rules of the relevant payment provider and our refund policy.

12. Deleting the Account

You can delete your account at any time from the app's settings.

When you delete your account:

– Your profile will no longer be visible to other users;

– We may retain certain information when required or permitted by law, for the purposes of fraud prevention, security, dispute resolution, tax, accounting, or law enforcement; and

– Deleting your account does not automatically cancel a subscription managed by an app store or a payment provider.

13. Notifications and communications

You may receive notifications from us related to our services, including security alerts, transactional messages, product updates, and communications regarding your account.

To the extent permitted by law, you may also receive marketing or promotional messages if you have consented to them or if such communications are otherwise permitted. You can manage push notifications through your device settings and manage your email preferences when these options are available.

14. Third-Party Services

The Services may contain links to websites, products, payment providers, social media login services, or other third-party services. We have no control over third-party services, their content, or their policies, and we are not responsible for them.

If you use a third-party service in connection with Chat&Yamo, your relationship with that third party is governed by that third party's terms and conditions and policies.

15. Changes to and Termination of the Service

We may, at any time, modify, update, remove, suspend, or restrict certain features of the Services.

We may suspend or terminate your access if we have reason to believe that:

– you have violated these Terms or our safety rules;

– your behavior poses a risk or exposes our site or other users to potential legal action;

– you have engaged in fraud, misconduct, or illegal activities; or

– We are required to do so by law.

If permitted by applicable law, we may take these measures with or without prior notice, depending on the nature of the problem.

16. Legal Notices

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available."

We do not guarantee that the Services will always be uninterrupted, secure, error-free, or available at all times, nor do we guarantee that connections, interactions, or communications will lead to a specific outcome.

Nothing in these Terms is intended to exclude or limit any rights that cannot be excluded under applicable consumer protection laws.

Where liability cannot be excluded but may be limited, our liability will be limited to the fullest extent permitted by applicable law.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Chat&Yamo and its affiliates, officers, directors, employees, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, customers, or any other intangible loss arising out of or in connection with your use of or inability to use the Services.

18. Compensation

To the extent permitted by applicable law, you agree to indemnify and hold harmless Chat&Yamo, its affiliates, officers, directors, employees, agents, and service providers from and against any claims, damages, liabilities, losses, and expenses arising from:

– your use of the Services;

– your User Content;

– your breach of these Terms; or

– any violation by you of the law or the rights of a third party.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, in the United States, without regard to conflict-of-laws principles, except to the extent that mandatory consumer protection laws in effect in your country of residence apply and cannot be waived.

Before taking legal action, you agree to contact us at contact@chat-yamo.com so that we can attempt to resolve the issue amicably.

If a dispute cannot be resolved amicably, the parties agree that the state or federal courts located in Delaware, United States, shall have exclusive jurisdiction, unless applicable law gives you the right to bring the matter before another court.

20. Changes to These Terms and Conditions

We may update these Terms from time to time.

If we make significant changes, we will post the updated Terms and amend the date listed above under "Last Updated." Where required by law, we will also notify you through a separate notice.

If you continue to use the Services after the updated Terms and Conditions take effect, this means that you accept the revised Terms and Conditions.

21. Miscellaneous

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it at a later time.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate restructuring, or asset sale.

These Terms constitute the entire agreement between you and Chat&Yamo regarding the Services, except for any additional terms that apply to certain features or specific services.
